IRFC Company background

Founded in: 1986

Indian Railway Finance Corporation Limited (IRFC) was incorporated in December 1986 as the dedicated financing arm of Indian Railways. The company was established by the Government of India, with its registered office located in New Delhi. IRFC is listed on both the National Stock Exchange (IRFC) and Bombay Stock Exchange (543257). It operates as a wholly owned government company under the administrative control of the Ministry of Railways. The core business of IRFC revolves around mobilising funds from domestic and international markets to finance the acquisition of rolling stock assets, project assets, and lending to other entities in the railway ecosystem, thereby supporting the modernisation and expansion of Indian Railways.

IRFC’s business model is straightforward yet highly impactful in the context of India’s infrastructure growth. The company’s primary revenue is generated through leasing operations, where it borrows funds at competitive rates and lends or leases those funds to Indian Railways and its subsidiaries. The two key business verticals are:

  • Leasing of Rolling Stock and Assets: IRFC finances the procurement of locomotives, coaches, wagons, and other rolling stock, which are then leased to Indian Railways on a long-term basis. The company also finances railway project assets and infrastructure.
  • Project Lending and Borrowings: In addition to direct leasing, IRFC extends loans to entities under the Ministry of Railways for specific projects, including electrification, gauge conversion, and network expansion. The revenue model is based on earning interest income from long-term leases and project loans. The predictable, low-risk structure is reinforced by the government’s sovereign guarantee and assured lease payments from Indian Railways.
  • 1986: Incorporated as the financing arm of Indian Railways to mobilise low-cost funds.

  • 2020: Filed for and received approval for its Initial Public Offering (IPO) from SEBI.
  • 2021: Successfully listed on NSE and BSE through an oversubscribed IPO.
