The IPO of Nanta Tech Ltd is entirely a fresh issue of shares with no offer for sale (OFS) component. Nanta Tech Ltd is an SME IPO in the “BSE SME” segment. The fresh portion of the IPO entails the issue of 14,46,000 shares (14.46 lakh shares), which includes 86,400 shares as market-maker quota. The market maker for the IPO is Shreni Shares Ltd. It will be a 100% book-built issue. The price band for the IPO will be in the range of ₹209-₹220 per share. The IPO will be open for subscription from Dec 23, 2025 to Dec 26, 2025. The minimum investment will be 2 lots of 1,200 shares, entailing an investment of ₹2,64,000.

Nanta Tech Ltd is a 2-year-old company set up in 2023 and specializing in audio visual (AV) integration. In addition, the company also offers distribution of AV products, service robots as well as the development of the requisite software for the same. Its service portfolio includes system design, integration, and on-site management. Some of the sectors that the company caters to include education, hospitality (hotels), manufacturing etc. The company supplies some of its key products under 2 distinct brands. Its AV products like LED screens, professional displays, video conference equipment, and digital signage are supplied under the brand name of “NANTA.” On the other hand, its service robots are supplied under the brand name “ALLBOTIX.”

The IPO is purely a fresh offering of shares with no OFS component and will result in infusion of funds into the company to the extent of the Fresh IPO portion (net of issue related costs). The key objectives of the IPO include:

  • Funding the capex for setting up an experience centre and product display area
  • Funding of working capital requirements of the business
  • General Corporate Purposes

The electronics system market is estimated to have grown about 2.3 times between 2019 and 2025 to its current size of $160 billion in India. This segment is expected to further expand to $500 billion by year 2030. The AV products manufactured by the company would broadly fall under the electronics system market. These products are also a major export driver with exports of electronics standing at $38.6 billion in FY25. Key government initiatives like “Digital India” and “Make in India” have given a leg-up to Indian manufacturing of electronic products.

Let us look at another segment that Nanta Tech Ltd operates in; Robotics. Sale of industrial robots in India touched a record of 4,945 units installed in 2021, a growth of 54% yoy. As of 2021, the operating stock of industrial robots in India has touched 33,220 units, representing a CAGR of 16% since the year 2016. Currently, the automotive industry remains the largest demand segment for industrial robots in India with a share of 31%. While automobiles lead in the demand for industrial robots, the other significant sectors include metals, rubber, plastics, electrical goods, and electronic goods.

Globally, China has been one of the largest suppliers of industrial robots to the manufacturing industry. However, post the pandemic, there were massive supply chain disruptions seen, which forced global companies to look at alternate supplies from the Asian region. India is one of the countries where the global industrial companies are seeing potential as a major supplier of electronic manufacturing solutions as well as for robotics. Apple shifting a big chunk of its base to India is a case in point. The government PLI scheme has also sought to emphasize this trend of shifting manufacturing to India.

Nanta Tech Ltd is engaged in the business of Audio Visual (AV) integration, distribution of AV products, like LED screens, video displays etc as well as higher end robotics. The company offers its products to clients across sectors like digital education, manufacturing, hospitality etc. While most of the AV products are sold under the “NANTA” brand, the robotics products are sold under the “ALLBOTIX” brand. The company was promoted by Jani Mansiben Mayank Kumar and Mayank A Jani. The business mix has changed significantly between FY25 and H1FY26.

For FY25, AV integration accounted for 75.9% of revenues, service robots 10.7% of revenues, software development 8.7%, and distribution of AV products 4.8%. However, in the first half of FY26 (H1FY26), the AV Integration is just 50.1%, while the service robots share is up to 22.7% and software development is up to 20.6% revenue share. Distribution of AV products in H1FY26 was at 6.5%.

The company has a very low debt/equity ratio of just about 0.04X as of March 2025. This low debt has enabled the company to show return on equity (ROE) of 47.12% for the full fiscal year FY25. The EBITDA margins and the PAT margins at 12.7% and 9.3% respectively are robust.

  • The company has a rather wide product portfolio across segments like AV products, robotics, AV solutions etc which de-risk the business model.
  • The company has invested extensively in distribution and dealer channels on a pan-India basis. Direct sales account for 69%, with dealer network accounting for the balance 31%.
  • Over the years, the company has built strong relationships and networks with clients with the appropriate certifications and approvals required for the same.
  • The promoters of the company bring a rather extensive exposure and experience in this particular line of business.
  • Size could be a constraint for the company as it will need to rapidly scale up in the coming years to make the best of this growth opportunity.
  • Capital raising via debt or equity could either impact the financial risk of the company or could result in dilution of the EPS.
  • The technology is rapidly changing and some of its deep investments could become obsolescent at short notice. Disruption risk is quite high in the industry.
  • Currently, the company is growing in robotics but they still offer a standalone solution. The industry is moving towards package OEM deals so Nanta Tech may have to target different set of clients.

The business model of Nanta Tech Ltd has two modules to it. The first module is the sale of audio visual (AV) products and the offering of AV integration and software solutions. The other module is the Robotics segment, where it is currently offering these automation solutions, predominantly to the automobile industry.

Between FY23 and FY25, the EBITDA jumped by nearly 6.5X, while revenues in this period have grown more than 5 times. Of course, bulk of these gains are from the consolidation of operations. EBITDA margins in this period have improved by 246 basis points from 10.19% to 12.65%, while the net profit margins have improved 5-fold to 9.29% in this period. Its return on equity has also gained between FY23 and FY25 from 35.08% to 47.12%, while the return on capital employed (ROCE) is up from 22.42% to 50.66%. Debt levels continue to be very low.

As of March 31, 2025, Nanta Tech Ltd has the advantage of a very diversified product mix and a growth model that is scalable without being too capital intensive. It is also well de-risked and spread across AV products and AV solutions; apart from robotics.
