Marc Loire has not yet executed any lease/rent agreements for setting up its proposed 15 exclusive brand outlets (EBOs) in 9 states across India. It cannot assure that it will be able to execute lease agreements in a timely manner and at the same locations where its EBOs will be located.
In the event of any delay in executing the lease agreements, or in the event the landlords are not able to provide the same in a timely manner, or at all, it may encounter time and cost overruns in setting up these new locations.
The company is exposed to the risk that certain entities in India where its products are marketed, could pass off their products as Marc Loire’s to create look alike and counterfeit products. The availability of look-alikes, counterfeit products, primarily in domestic markets, manufactured by other companies and passed off as its products, could adversely affect the goodwill and results of operations.
The company may not be able to obtain sufficient quantities or desired quality of finished products from outsourced vendors in a timely manner or at acceptable prices, which could adversely affect its retail business, financial condition and results of operation.
